I'm working on a deal with satellite radio for original programming, but I am lost on how to structure the agreement/contract in a way that it won't come to bite me in the ass later.
I don't have money for legal, so that's not an option. Any help or suggestions on where to go to find the best help or agreement/contract templates would be greatly appreciated!
Hey Nestor, so as you enter into legal relationship I would still advise you highly to get help from an expert. If you can't afford it - - try finding one who is also in need for a customer (recent grad?).
As for agreements themselves, there is a pretty "standard" pattern to any agreement:
header typically introduces the parties of the agreement (with their addresses etc)
Then its a norm to introduce some vocab (key terms used)
Then main part that describes the core of the agreements (like "both parties agreed to do x y z"
After main part normally there are essential clauses of agreement that cover the following aspects:
timeline for the agreement
payments / transaction terms
expiration / termination conditions (like what happens when contract ends on its own or due to a breach etc)
liability or limitation of it for the parties
non-disclosure terms
official contacts for communication
breach terms (if one party lets the other down what happens etc)
jurisdiction for the agreement and disputes terms (basically which court will handle any disputes)
other clauses related to your specifics
Maybe a good first step for you is to produce the "fishbone" of the agreement (some call it heads of agreement or letter of intent). Then see if you can find a legal adviser that can go through it and brush it out.
