Buying SaaS business in EU

Hey Indi Hackers,

I recently joined IH and I must say - it's one of the most valuable communities I've ever been part of.

I am exploring opportunities to buy a micro-SaaS business but most of the platforms are US based and there is no clear process for non-US residents (I live in the Netherlands, EU).

Are there any decent platforms focused on EU business? Or maybe established process/best practices to buy US business from the outside?

    If you buy a small SaaS business or WordPress plugins, usually you buy the assets, but not the business as a whole. This makes the transfer to the EU simple. The assets are usually: source code, intellectual property, existing clients, .... .
    You usually don't take over: bank accounts, tax liabilities, loans, ....

    Buying a business (as in taking over e.g. a LLC) is a major undertaking with US tax implications and more legal risks. Buying the business means also taking over the legal entity, and the resulting bank accounts, tax liabilities and so on.

    So my recommendation is to look for an asset sale. This is actually also what most brokers do.

      thanks, man, that makes total sense. will exclude ecomm, FBA, etc type of businesses and look for SaaS or content opportunities. appreciate your response!

      Hey Semy,

      Literally any - from WordPress plugins, shopify apps, chrome extensions to blogs, ecomm, etc.

      Probably SaaS in the topic is a bit misleading.
