Shareholders’ Agreements: how to manage commitment?

I’m founding a company with another shareholder. I want to be able to run multiple companies at the same time.

How can you define this in a shareholders agreement without scaring the other cofounder about a lack of commitment?

    When partnering with someone my agreement usually says that we cannot operate or run a business within the same market or offering the same services that essentially could compete with the venture. Other than that there isn't really a commitment of time, energy, or focus. Which - could be bad? But really you can't tell how much someone is spending on things anyways, they're succeeding at getting shit done and doing their part or they're not.

    I too have too many interests, side projects and interests.
    Probably while I'll never be a billionaire, just a multi-millionaire ;)
