Show IH: We start US LLCs for non-residents and run US LLC compliance and admin work for them

Hey indie hackers, I am Petar, the co-founder of Neubase. We incorporate US LLCs for non-US residents and provide ongoing compliance and admin support.

A few years ago, I started my US LLC because it made perfect sense for running my consulting business. I live in Macedonia, where bureaucracy and receiving payments from abroad is… painful. After some consultations with US LLC and tax advisors, I started my company. I pay zero taxes, have access to US online banking and Stripe, and have small operating costs.

Many non-US entrepreneurs could benefit from running their global businesses through a US LLC, including:

  • Paying zero taxes
  • Getting a US online bank account (without traveling to the US)
  • Getting a Stripe account (if living in an unsupported country)
  • Low cost to start the company
  • Low costs to operate the company
  • Ownership privacy

How it looks like to start and run your US LLC with Neubase without ever traveling to the US:

  1. You provide us with the necessary personal information and pay the $590 annual subscription fee
  2. Our Wyoming registered agents incorporate your company in 24-48 hours and provide you with Articles of Organization and Operating Agreement
  3. We send you the SS-4 form that you need to sign electronically
  4. We submit the SS-4 to the IRS to obtain your EIN (if you have no SSN or ITIN, this takes 2-5 weeks)
  5. In the meantime, we'll submit the required report to the FinCEN (required from 1 January 2024)
  6. Once we get your EIN, we open your bank account (if you are not comfortable sharing your passport and proof of address with us and you want to do it yourself, we can guide you through the process)
  7. Then you connect your bank account with Stripe
  8. When the time is due, you’ll send us your profit/loss statement and balance sheet, and our tax preparer with prepare your tax returns and submit them to the IRS
  9. You can call us at any time and ask anything related to your LLC
  10. When the time is due, we’ll submit the Annual Report to the Secretary of State
  11. After 365 days, we’ll charge your card $590 again and we’ll do all the compliance support all over again.
  12. In case you need to close the company, we’ll help with that and pay the fees.

Simply put, for the annual $590 subscription fee we provide:

  • Incorporation
  • Registered Agent
  • EIN
  • FinCEN report (required from 2024)
  • Bank account
  • IRS tax forms preparation and submission
  • Annual report
  • And you can call us at any time
    Soon we will offer bookkeeping and accounting at additional cost.

Now you may be wondering:
Q: Why Neubase and not Stripe Atlas?
A: Because they will make you a Stripe customer and leave you in the open in terms of compliance and running the company.

Q: Why Neuabse and not Doola?
A: Because most of their customers are from the US the offer and the pricing is not quite adequate for non-residents, in my opinion.

Q: Why Neubase and not Northwest Agents?
A: Because they are only a registered agent service. They have a lower fee to start, but make sure you check out the fees from the second year. You won’t be as happy with that.

Q: Why Wyoming and not Delaware?
A: Because, unlike Wyoming, Delaware charges an annual franchise tax of $300, without bringing any additional value compared to Wyoming LLC. If you have a startup and need to convert it to a C-Corp to receive VC, then it is reasonable to move to Delaware and convert to a C-Corp.
