We still don't know if people come for the analytics or the data-room side β€” so I bet on the data-room side this week

Quick update on PaperTrack (posted here a couple weeks back about building this because I was tired of documents going into a black hole πŸ‘‹)

Someone in the comments on that post asked something I couldn't really answer yet: do people come for the analytics, or do they stick around once they discover the data-room/security side? Still too early to say for sure, but while digging into that I ended up going pretty deep on the data-room side of things β€” and realized there wasn't a great free resource out there for people prepping to raise or run a deal. Mostly paywalled legal sites or thin 300-word listicles.

So instead of just writing more marketing copy, I put together 5 actual guides/templates and made them fully free, no email gate:

β†’ The Ultimate Due Diligence Checklist β€” every document category investors ask for, why they ask for it, red flags, timeline by stage. Also comes with a free Excel tracker: https://papertrack.io/blog/due-diligence-checklist/

β†’ Data Room Folder Structure Template β€” the exact folder tree + naming convention I'd use today: https://papertrack.io/blog/data-room-folder-structure/

β†’ Data Room Security Checklist β€” access control, watermarking, audit logs, what actually matters vs. security theater: https://papertrack.io/blog/data-room-security-checklist/

β†’ Mutual NDA Template β€” copy-paste ready: https://papertrack.io/blog/nda-template/

β†’ Term Sheet Template (annotated) β€” liquidation preference, vesting, anti-dilution, explained in plain English: https://papertrack.io/blog/term-sheet-template/

Not gonna pretend it's purely altruistic β€” it's also a decent way to get in front of people who are about to need a data room anyway. But I think they're genuinely useful on their own, gate or no gate.

If anyone here has raised recently or run deal diligence β€” did I miss anything obvious? Especially curious if the folder structure matches what you actually used, since that one's the most "opinionated" of the five.

Yeah, I can see why you’d bet on the data room side. It feels like a much easier problem for people to immediately understand and pay for. The analytics part is definitely interesting, but I’d probably use it as the β€œoh, that’s actually useful” layer after people are already using the data room. Curious to see which one ends up pulling more users in.

Yeah, matches my gut too β€” data room is a problem people already know they have, analytics is more of an "oh nice" you discover after. So maybe it's less about which pulls more people in, and more "data room gets them in the door, analytics keeps them around." Will know for sure once more people go through a full deal cycle on here.

Yeah, exactly. I think the full deal cycle will tell you a lot more than the initial signups. Curious to see what you find once there’s enough usage data.
